An overseas company with a branch (a UK establishment) in the UK must register with Companies House. Correspondingly, you must update your overseas company’s branch details in the UK if there are changes. For this purpose, you must use the Companies House form OS CH01. You must notify Companies House of the change within 21 days.
Complete the form OS CH01 to update your overseas company’s branch details in the UK
You can use the form Os CH01 to change three things:
- To update your UK branch’s address
- Change of nature of your business activities
- Change of your UK branch name
Information required to complete the form OS CH01
You would require the following information about your overseas company to complete the form OS CH01.
Section 1: Overseas company details
Your overseas company number. your overseas company number shall start with a prefix “FC” followed by six digits.
Your overseas company full name or alternative name currently registered with Companies House.
Section 2: UK establishment
Thereafter, you must provide which of your overseas company’s branch details have changed. This includes the branch number issued by Companies House and also your branch name registered with Companies House.
Your branch number shall start with a prefix “BR” followed by six digits.
Section 3: Change of address of UK establishment
Provide the full address and specify the date of the change if this is applicable to your overseas company.
Section 4: Change nature of business
Fill in the Change in nature of business if applicable otherwise, you can leave it blank if it is not applicable.
Section 5: Change nature of business
Leave the change of name of the UK establishment blank if it is not applicable.
Section 6: Signature
You must sign the form. The person signing the form OS CH02 must hold the position of either as the overseas company director, secretary or a permanent representative.

You may send your completed OS CH01 form to one of the following Companies House offices.

Companies House filings during COVID-19 pandemic
Companies House created an interim paperless filing service to accept documents which would normally require a live signature. You can easily upload your documents to Companies House online platform.
You are also encouraged to use the WebFiling service to submit the following documents to Companies House.
- Confirmation statement
- Company accounts
- Events driven filings i.e director appointment or change of your registered office address.
- Closing down your company.
For this purpose, you would require your company’s authentication code to file online. The authentication code is the electronic equivalent of your company’s director(s) signatures. Hence, you must keep it safe.
