Terminate overseas company permanent representative

You must complete the Companies House form OS TM03 to officially Terminate overseas company permanent representative. You can also use the same form (OS TM03) to terminate the person authorised to accept service of documents in respect of your UK establishment for your overseas company.

If you would like to terminate your overseas company director’s appointment then you must complete the form OS TM01.

Information required to complete the form OS TM03

You would require the following information to complete the form OS TM03.

Section 1: Overseas company details

You are to provide your overseas company number. Your overseas company number shall start with a prefix “FC” or “SF” or “NF” followed by six digits.

Followed by giving your overseas company full name or alternative name currently registered with Companies House.

Section 2: UK establishment

You provide your overseas company’s branch name and registration number. Your branch number shall start with a prefix “BR” followed by six digits.

Section 3: Termination of appointment

You must specify who you are going to terminate using this form. You can choose one (thick one box only).

  • Person authorised to accept service of documents in respect of a UK establishment.
  • Person authorised to represent the company in respect of a UK establishment

Section 4: Person authorised to accept service of documents

You must indicate by ticking a box if you are terminating the person authorised to accept service of documents for your overseas company. If your answer is yes then you go to section 5 to give the name of the person authorised to accept service of documents being terminated.

At the same time, you must also disclose if there is no person resident in the UK authorised to accept service of documents on behalf of your overseas company. Only tick this box if it is applicable to your overseas company’s situation.

You can appoint a person authorised to accept service of documents on behalf of your overseas company by completing the form OS AP07.

If you are not terminating a person authorised to accept service of documents then go to section 5 to give the name of your permanent representative you are terminating.

Section 5: Current details on the Companies House register

You are to provide the person authorised to accept service of documents details currently held on Companies House Register. If you are terminating this person.

Otherwise, you are to provide your overseas company permanent representative details you are terminating.

You must give his/her full forenames and surname.

Section 6: Date to terminate your overseas company permanent representative or person authorised to accept service of documents

You must provide the date you officially terminated the person authorised to act for your overseas company in the UK. One form one to be terminated.

Section 7: Signature

You must hold the position of either as the overseas company director, secretary or a permanent representative in order to sign the form OS TM03.

Where to send your OS TM03 form

You may send your completed OS TM03 form to one of the following Companies House offices. Companies House will process your application and if everything is in order then the form will be published on the public register.

England and Wales:

Companies House filings during COVID-19 pandemic

Companies House created an interim paperless filing service to accept documents which would normally require a live signature. You can easily upload your documents to Companies House online platform.

You are also encouraged to use the WebFiling service to submit the following documents to Companies House.

For this purpose, you would require your company’s authentication code to file online. The authentication code is the electronic equivalent of your company’s director(s) signatures. Hence, you must keep it safe.
