Foundation

Foundation is a sensitive word. To use this word in your company name, your company should normally be limited by guarantee. It should have a pool of money, or a regular source of income to promote its objects. You will need to confirm this when you submit your application to Companies House.

A non-profit distribution clause should be included in your articles of association. The non-profit clause provides that any profits are used to further the objects of the company and not paid to the members as dividends.

In the case of your business name, your articles, constitution or relevant governance document should include similar clauses and you should provide a copy when you submit your application.

How to register a company?

On the same note, you must also inform Companies House if your company details changed. For example, you appoint a new director or your registered office address has changed.

Additionally, you must submit your company accounts to Companies House and HM Revenue and Customs (HMRC). For HMRC, you must include your corporation tax return together with your company accounts.
