A limited company that is dormant and has not been traded since it was incorporated is eligible to deliver a dormant account to Companies House. Your dormant account format must compliant with the Companies Act 2006.
Generally, your dormant account format would need to include:
Balance Sheet
Usually, a dormant account format only has a balance sheet. And the balance sheet page is very simple. Typically, your company name and registration number and accounting year-end date must be prominently present. you can use the form AA02 to file your dormant company account with Companies House.
Other than that your balance sheet itself would only have two items. The called up share capital not paid and Issued share capital.
Disclosure statements
Your dormant account format must include the following statements on your balance sheet page. The wordings are as follows.
- For the accounting period ending, say, 31 March 2019, the company was entitled to exemption from audit under section 480 of the Companies Act 2006 relating to dormant companies.
- The members have not required the company to obtain an audit of its accounts under section 476 of Companies Act 2006.
- The directors acknowledged their responsibilities for complying with the requirements of the Act with respect to accounting records and the preparation of accounts.
- These accounts have been prepared in accordance with the provisions applicable to companies subject to the small companies regime.
Comparatives figures in a dormant account
Your dormant account format must include comparatives figures for a subsequent year dormant account.
File online or on paper
In addition, your director must sign and date the dormant account. However, there is an exception to this. If you are filing your dormant account using the web filing service.
In this case, you would require your company authentication code. The authentication code is the electronic equivalent of your director’s and your company secretary’s signature. Thus, your director does not need to sign and date the account physically. Keep safe your authentication code and you use this code to file your confirmation statement too.
Also, filing online is quick and easy too.
Late filing penalty
Lastly, Companies House would issue late filing penalty if your dormant account is delivered late even just by one day. The penalty starts from £150 to £1500 depending on how late.
