Company accounts overdue statutory notice

Companies House issues company accounts overdue statutory notice if your company accounts are late two years consecutively.

The statutory notice will state the date by which you must deliver your company accounts to Companies House. If you failed to deliver your company accounts by the date stipulated, Companies House will take further action against the company director.

Unable to meet your company accounts overdue statutory notice filing deadline

If the statutory notice states your company must deliver your accounts by 1 July 2022. You must make this happen. If for whatever reasons, you are unable to meet the given filing deadline, you may write to Companies House at enquiries@companieshouse.gov.uk and use the email subject line as “I WANT TO KEEP MY COMPANY”

In your email, you must provide the following:

  • Your company number
  • the reference from the company accounts overdue statutory notice. For example DEFSTAT
  • You confirm that you want to keep your company.

Companies House will temporarily stop the action to close your company.

Late filing penalty

In addition, you would receive a late filing penalty after you delivered your company accounts. For second-year late, your late-filing penalty would be double. For example, your account’s due date was 31 March 2022 and you submitted your accounts on 30 June 2022. You were three months late. the late filing penalty would be £ 375 x 2 = £750 for a limited company. For a public limited company, it would be £1500 x 2 = £3000.

Do not want to keep your company

If you do not want to keep your company, you may apply to Companies House to have it struck off the Register.

Another important document your company must deliver to Companies House is your confirmation statement. Failure to do this is a criminal offense and will lead to your company being struck off the register as well.
