Companies House restart the voluntary strike-off process

Companies House will restart the voluntary strike-off process from 10 September 2020. All the voluntary strike-off applications were suspended in March 2020 due to COVID-19 outbreak.

Normally, after you submit your DS01 voluntary strike-off application to Companies House, you will receive a letter confirming stating that your company will be struck off within 2 months if no objections are received.

If your company is still not yet been dissolved, either due to temporary suspension put in place by Companies House or someone has objected to your dissolution.

When Companies House restart the voluntary strike-off process from 10 September, your company will be removed from the register shortly if the following occur:

  • no objection received for your company.
  • 2 months publication at the Gazette has expired.

Object to a company being struck off the register

You must send in your objection to Companies House by email (enquiries@companieshouse.gov.uk) or by post if you object to a company being struck off because the company still owed you money or in a legal dispute.

You can only object to a company from being dissolved after it was published in the Gazette.

Companies House will let you if your objection is accepted or otherwise. You must send in further evidence by the deadline if Companies House requires it. If they did not receive further evidence by the deadline specified then the strike-off process will resume.

You must send in your objection as soon as it was published in the Gazette or at least 2 weeks before the notice expired.

Withdraw your DS01 Voluntary strike-off application

You can withdraw your voluntary strike off application if you change your mind. However, you can only do this if your company is not yet dissolved by Companies House.

You may withdraw your application online. Alternatively, you may complete the form DS02 and send it to Companies House.

Companies House filings during COVID-19 pandemic

Companies House also gear up to support UK companies during COVID-19 pandemic. They automatically extend your company’s filing deadline. This will help your company to avoid a late filing penalty if you are unable to deliver your company accounts on time. You do not need to do anything. You just need to go to Companies House website to check your new filing deadline.

Concurrently, your confirmation statement filing deadline will also be extended. You would have 6 weeks to file your confirmation statement. Similarly, for the events driven filings, you will have 42 days (6 weeks) to notify Companies House instead of the usual 14 days filing deadline.

In addition, Companies House also created an interim paperless filing service to accept documents which would normally require a live signature.

You are encouraged to file your documents to Companies House digitally. You can use the online web filing service to file the following documents to Companies House.

To file online, you would require your company’s authentication code. The authentication code is the electronic equivalent of your company’s director(s) signatures. Keep safe your authentication code.
