Assets of your dissolved company

Companies House struck off companies that do not comply with UK company law. However, Companies House will publish a notice in the Gazette before your company is dissolved. If no one comes forward, your company will be struck off within 2 months. Consequently, the assets of your dissolved company will be Bona Vacantia.

All Bona Vacantia assets of your dissolved company will be passed on the Crown because it does not have a legal owner.

For example, your company’s bank account will be frozen. Thereafter, any credit balance in the account will be passed to the Crown.

Usually, this would happen when Companies House did not file your confirmation statement and/or company accounts.

Apply to restore your company

Generally, in this situation, you may apply to Companies House to have your dissolved company restored back to the register. However, your company must not have been dissolved for more than 6 years.

If you are not familiar with the UK company restoration process, you are best to use qualified accountants firm to handle the restoration for you.
